Terms and Conditions of Use

Access and/or use of Taylor’s UtilityModule platform (hereinafter “Services”) constitute consent to the terms and conditions set forth herein. These terms and conditions may be periodically modified or changed at any time, without prior notice. Users are responsible for thoroughly reviewing these terms prior to each use. Your initial and subsequent use of the Services will constitute consent to the most recent version of the terms and conditions, including any modifications or changes.

Compliance with Applicable Law

Users will ensure that the manner in which they receive and transmit information through the UtilityModule platform complies with all laws and regulations.

Termination of Access

Taylor may terminate or suspend access to the Taylor platforms at any time, without advance notice and without cause. Taylor reserves the right to suspend or end service for any operational or governmental reason, or for any violation of these terms and conditions. Misuse or unauthorized use of this site will result in restriction or termination of access.

Confidential Information and Intellectual Property Rights

The UtilityModule platform contains proprietary information and technology which are the sole and exclusive property of Taylor. Nothing contained herein shall be construed as granting to the user a license, by implication, estoppel, or otherwise, under any copyright, trademark, domain name, patent, logo, service mark, or other intellectual property right of Taylor for any purpose other than its authorized use.

Users agree to keep confidential and to use only for authorized purposes, any proprietary or confidential information of Taylor or any information which could reasonably be considered of a proprietary, secret or confidential nature including, but not limited to knowledge/information of Taylor’s business operations, trade secrets, current or planned technological configurations, research, contracts, customer information, pricing, business methods, computer software developments or related programs, financial statements, projections, budgets, and confidential information which Taylor reasonably has the right to protect by patent, copyright, trademark, or by maintaining its confidentiality.

Users may not copy, transmit, distribute, use, misuse, publish, reverse engineer, attempt to extract the source code, decompile or otherwise disseminate or exploit any of the intellectual property contained on our platform. Users acknowledge that Taylor’s intellectual property rights constitute a unique and valuable asset of Taylor which represents a substantial investment of time and expense and that any disclosure or unauthorized or unintended use of such knowledge other than for the sole benefit of Taylor could cause it irreparable harm for which money damages alone may not adequately compensate Taylor. Accordingly, in addition to all other remedies expressly provided herein, users acknowledge that Taylor may seek all available remedies at law and in equity, including but not limited to, injunctive relief.

The provisions of this section shall remain in full force and effect and shall survive the expiration or termination of any contract or other agreement, regardless of the reason.

Consent to Monitoring and Disclosure

By accessing UtilityModule, Users agree that Taylor may monitor the website contents periodically to (1) comply with any governmental laws or regulations; (2) properly operate Taylor systems; or (3) protect itself and/or its Users. Taylor reserves the right to modify, reject or eliminate any information residing on or transmitted to its website which it believes, in its sole discretion, is unacceptable or in violation of these terms and conditions, and to suspend or terminate services for any operational or governmental reason, or for any violation of these terms and conditions.

Disclaimer of Liability

The information contained in this site is from sources Taylor believes to be reliable and accurate when placed on the platform; nevertheless Taylor or its agents will not be liable for any errors or omissions contained in this information. By accessing UtilityModule, you assume all responsibility and risk for the use of the systems and the internet generally. Taylor does not assume any legal liability or responsibility for the accuracy, completeness, or usefulness of any content or process disclosed on its platform or other material accessible from its platform. In no event shall Taylor be liable for any damages, including but not limited to special, indirect, or consequential damages resulting from loss of use, data, or profits, whether in an action of contract, negligence or other tort, arising out of or in connection with the use or performance of UtilityModule or the internet generally.

No Warranties

The content provided on Taylor Systems is provided on an “as is” and “as available” basis without any warranties, either express or implied, including, but not limited to, warranties of title, non-infringement, or implied warranties of merchantability or fitness for a particular purpose. No advice or content provided by Taylor, its employees or agents will create any warranty. Taylor does not warrant that the content on its Systems or on the internet generally will be uninterruptible or error free or that any content, software or other material accessible from the platform is free of viruses or other harmful components. Taylor will not be responsible for disruption or interruption of services, any force majeure, or any actions or inaction of third parties and disclaims all warranties of any kind, express or implied, to the fullest extent allowed by law.


Users agree to defend, indemnify and hold Taylor, its employees, officers, and agents harmless against all claims, losses, damages or expenses (including reasonable attorney’s fees and court costs) sustained as a result of their negligent or intentional breach of these terms and conditions.

Governing Law

These terms and conditions shall be governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles, exclusive of trademark, copyright or other matters which are governed by federal law.
